Extension of Paysafe Merchant Agreement & Clover Equipment Addendum Terms & Conditions

This Extension of Merchant Agreement & Clover Equipment Addendum (this “Addendum”) shall be effective upon Merchant clicking the checkbox attesting that Merchant has read, understood, and agreed to these Terms & Conditions (the “Effective Date”). This Addendum is between Merchant and Paysafe Payment Processing Solutions, LLC (“Company”) pursuant to these Terms & Conditions.

IMPORTANT TERMS

By requesting a new Clover equipment device pursuant to this program offer, and clicking your agreement via the Terms & Conditions checkbox, You (“You” or “Merchant”) are deemed to have accepted these Terms & Conditions and agreed to be bound by them, including:

  1. A Three (3) Year Contract Extension to your current Merchant Agreement with the Company, effective as of the date you click on the checkbox certifying that You have read, understand, and agree to these Terms & Conditions.
  2. You will be subject to an Early Termination Fee (“ETF”) if during the three (3 year Contract Extension Term, You: (i) cancel your Merchant Agreement; or (ii) cease to process payments with the Company for any consecutive three (3) month period or longer; or (iii) fail to process payments exclusively with Company on the Equipment. You authorize Company to debit your Merchant Designated Account for such fee, if applicable.
  3. You also will pay a Failure to Return Equipment Charge if You are subject to an Early Termination Fee for Contract termination before the end of the three (3) year Contract Extension Term, and if You do not make a timely return of the Clover Equipment device in good condition. You authorize Company to debit your Merchant Designated Account for such fee, if applicable.
  4. Limitation One device per Merchant MID per this program offer.

You must read all of the Terms & Conditions below, which further explain your rights and obligations pursuant to this Addendum.

TERMS & CONDITIONS and Addendum to Merchant Agreement

These Terms & Conditions apply to a Merchant who requests a Clover equipment device under this program offer, and function as an Addendum that modifies the U.S. Merchant Payment Card Application/Agreement (the “Merchant Agreement”) between Merchant and Company (or Company’s predecessor in interest). Each of Company and Merchant is a “Party”, and collectively, constitute the “Parties”. The specific Bank(s) referenced in the Merchant Agreement(s) is/are not a party to this Addendum.

  1. The Merchant and Company hereby agree to a three (3) year contract extension to the Merchant Agreement (the “Agreement Extension”), commencing as of the Effective Date, and thereby extending the Term of the Merchant Agreement and all provisions thereof, except as modified herein. In consideration of such Agreement Extension, subject to these Terms & Conditions, and subject to availability, while supplies last, Company shall provide Merchant with a certain Clover device, limited to one device per Merchant MID, as selected by Merchant (the “Equipment”), at no additional charge at this time; provided, however, that Merchant shall be responsible and agrees to pay applicable shipping and handling; to pay for any requested associated services and equipment, examples of which are referenced in section 5; and agrees the Equipment will process payments exclusively with Company during the three (3) year Contract Extension.
  2. If during the three (3) year Agreement Extension term, Merchant: (i) terminates the Merchant Agreement; or (ii) ceases to process payments with the Company for any consecutive three (3) month period or longer; or (iii) fails to process payments on the Equipment exclusively with Company, Merchant acknowledges and agrees that it will be subject to an early termination fee (“Early Termination Fee” or “ETF”), which shall be due and payable to Company at the time of early termination pursuant to this section, and shall be calculated per the section 8 Chart below. In addition to payment of the ETF, if Merchant or Company terminates the Merchant Agreement pursuant to this section prior to the culmination of the Agreement Extension, Merchant acknowledges and agrees that it also is obligated to promptly return the Equipment to the Company. Should Merchant fail to return the Equipment in good condition in its entirety, including charging cables, power cords and accessories, Merchant shall pay to Company the respective then current Full Value Replacement Amount, per the section 8 Chart below, calculated proportionately to the number of months remaining in the Agreement Extension (the “Failure to Return Equipment Charge”). Merchant hereby agrees and provides its consent that upon Merchant’s early termination of the Merchant Agreement, to the extent applicable, the ETF, the Failure to Return Equipment Charge, and any respective shipping and handling fees, and/or other amounts duly owed by Merchant pursuant to the Merchant Agreement, shall be debited via ACH from Merchant’s designated bank account ( the “Designated Account”). Company will provide a statement to Merchant detailing any such charges.
  3. Merchant agrees that the Equipment is the property of Company, until the expiration of the three (3) year Agreement Extension, at which time, ownership of the specified Equipment shall transfer to Merchant, without any additional action by Merchant or Company.
  4. Merchant acknowledges that the Equipment may only be compatible with a merchant account provided by Company. The Equipment shall be used for commercial purposes only, in conjunction with and pursuant to the Merchant Agreement. Merchant is responsible for safeguarding the Equipment from loss, damage, unauthorized use, misuse or theft. Merchant shall comply with all governmental laws, rules and regulations relating to the use of the Equipment, as well as all Card Organization Rules, including but not limited to, the Payment Card Industry Data Security Standards (PCI-DSS).
  5. Merchant shall be responsible for obtaining and paying for all incidental Equipment-related supplies, including but not limited to weight scale, bar code scanner, paper, ribbons, cartridges, necessary equipment repairs, etc., and Services, such as SAAS packages, as may be applicable. Merchant shall also be responsible to replace such Equipment at its own cost and, if from Company, at Company’s then prevailing rates, if the Equipment is deemed “end of life” by the manufacturer or appropriate third party.
  6. In the case of early termination of the Agreement Extension by Merchant, Company will send a pre-paid return call tag label to the Merchant’s email address on file. Merchant will have ten (10) calendar days from the day the call tag label is emailed, to return the Equipment, or the Failure to Return Equipment Charge will be debited from Merchant’s Designated Account. Merchant shall return such Equipment in the same operating order, repair, condition, and appearance of such Equipment as at the time it was delivered to Merchant, except for ordinary “wear and tear”, and shall reimburse Company for any loss, damage, unauthorized use, misuse or theft of Equipment.
  7. Except as expressly modified by this Addendum, the terms and provisions of the Merchant Agreement are hereby affirmed and ratified. Hereafter, all references to the Merchant Agreement shall mean the Merchant Agreement as modified by this Addendum. No cross-outs, changes or modifications to this Addendum will be accepted or approved by Company unless confirmed in writing by Company.
  8. “Early Termination Fee” & “Failure to Return Equipment Charge” Chart:

    Failure to Return Equipment Charge per Full Value Replacement Amount* for Clover Equipment (September 2025) *Full Value Replacement Amount may increase over time; if a Failure to Return Equipment Charge is applicable, it will be calculated on a prorated basis, based upon the then current Full Value Replacement Amount.
